1. Introduction

Welcome to On The Record ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the On The Record platform, including any associated mobile applications and websites (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to disable your account if we determine, in our sole discretion, that you have violated these Terms.

3. Subscription and Payments

The Service offers various subscription plans. By selecting a subscription plan, you agree to pay the subscription fees indicated for that plan. Subscription fees are billed in advance on a monthly or annual basis, depending on the payment terms you select.

You authorize us to charge the payment method you provide to us for all applicable fees. If your payment cannot be completed, we may suspend or terminate your access to the Service.

You may cancel your subscription at any time, but we do not provide refunds for the current billing cycle.

4. User Content

The Service allows you to upload, store, and share content, including transcripts, client information, and other materials ("User Content"). You retain all rights to your User Content, but you grant us a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, and publicly perform your User Content in connection with operating and providing the Service.

You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate the rights of any third party.

5. Prohibited Conduct

You agree not to:

• Use the Service in any way that violates any applicable law or regulation
• Use the Service to transmit any material that is defamatory, offensive, or otherwise objectionable
• Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service
• Use any robot, spider, crawler, scraper, or other automated means to access the Service
• Bypass or circumvent measures we may use to prevent or restrict access to the Service
• Upload or transmit viruses, malware, or other types of malicious software
• Collect or harvest any personally identifiable information from the Service

6. Intellectual Property

The Service and its original content, features, and functionality are owned by On The Record and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

8. Limitation of Liability

In no event shall On The Record, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

9. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
